The Weiser Valley Hospital District Trustees and St. Luke's Health System seek community input and support for the following proposed transaction:
The Trustees of Weiser Valley Hospital District propose that the Hospital District transfer Weiser Memorial Hospital (the Hospital) and its related assets to the St. Luke's Health System. In exchange, St. Luke's has agreed to enter a Healthcare Services Agreement with the Hospital District whereby St. Luke's will continue to operate the hospital and maintain in all material respects the scope of services currently offered for a period of at least three years.
The Hospital District will continue to exist for the time being and District taxes would continue at least as long as is necessary to pay off current debt and other obligations related to the Hospital. It is estimated this will take fifteen years. The District will have the option of continuing to use tax revenue to support health needs in the community, but is not obligated to do so. The District may be dissolved after its current obligations are paid.
St. Luke's will establish a community based advisory board to advise St. Luke's on community health needs in Washington, Payette, and Adams County, Idaho and Malheur County, Oregon. The Hospital District will be entitled to have representation on that advisory board.
If St. Luke's undergoes a change in control, proposes to sell the Hospital or to close the Hospital or does not fulfill other obligations under the Healthcare Services Agreement, the Hospital District will have the right to reaquire the Hospital on agreed upon terms.
The Hospital District Trustees and Hospital leadership believe that integrating with St. Luke's will provide the District and its residents and the surrounding communities with continuing local access to healthcare and a strong local voice in evaluating the needs of the community into the future.
